These Terms & Conditions ("Terms") govern your use of the Counting Sheep Club mobile application, the countingsheep.club website, and related services (together, the "Service"). These Terms are the end user licence agreement for the Service.

Please read these Terms carefully. By downloading, accessing, or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Who we are

The Service is operated by Autism Central LLC, a Wyoming limited liability company.

2. Eligibility

The Service is intended exclusively for parents, legal guardians, and other adult caregivers.

By using the Service, you confirm that:

• you are at least 18 years old; and

• you are using the Service for your own child or a child you are authorised to care for.

Children may not create accounts, log in, or use the Service independently. The Service is not designed for children to operate.

3. The Service

Counting Sheep Club provides AI-generated bedtime stories and optional audio narration designed to support calm and emotionally safe bedtime routines.

We currently offer:

• access to 3 free stories; and

• paid monthly and yearly subscriptions for continued access.

We may update, improve, modify, or discontinue features at any time.

4. Accounts

You may need an account to use subscription features. You may create one using Apple sign-in, Google sign-in, or another method we make available.

You are responsible for:

• maintaining the security of your sign-in credentials; and

• all activity that occurs under your account.

You may not share your account or allow anyone else to use it.

Deleting your account

You can delete your account at any time from the account settings inside the app. Deleting your account removes your account, child profiles, saved stories, and narration from our active systems, except where we must retain limited records for legal, tax, accounting, security, or fraud-prevention purposes.

Deleting your account does not cancel an active App Store or Google Play subscription. You must cancel your subscription in your store account settings.

5. Subscriptions, billing, and renewals

Plans and pricing. We offer monthly and yearly auto-renewable subscription plans. The subscription title, length, price, and price per unit (where applicable) are shown on the purchase screen in the app before you subscribe. Pricing may vary by region.

Billing. Payment is charged to your Apple App Store or Google Play account at confirmation of purchase. We do not receive or store your payment card details.

Automatic renewal. Subscriptions renew automatically unless auto-renewal is turned off at least 24 hours before the end of the current billing period. Your account is charged for renewal within 24 hours before the end of the current billing period, at the price shown on the purchase screen.

Managing or cancelling. You can manage your subscription and turn off auto-renewal in your Apple or Google account settings after purchase. Cancelling stops future renewals; it does not refund the current period.

Refunds. Billing, cancellation, and refunds are handled by Apple or Google under their own policies. We do not process payments or refunds directly.

Free stories. We provide access to 3 free stories without a subscription. Additional stories require an active subscription. We may modify or discontinue free access at any time.

6. Your content and the licence you give us

You choose what information to provide about your child, and you are responsible for it. Please do not provide a child's surname, address, contact details, school name, medical information, or anything not needed to create a story.

To operate the Service, you grant us a limited, worldwide, non-exclusive licence to use, process, store, and reproduce the information you provide so that we can generate, safety-check, save, and deliver stories and narration for you. This includes sharing that information with our third-party AI service providers as described in Section 9 and in our Privacy Policy.

Stories and narration generated for your account may be used for personal, non-commercial family use.

7. Our intellectual property

All content and technology within the Service — including stories, audio recordings, illustrations, design elements, branding, software, and models — is owned by Autism Central LLC or its licensors.

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service for personal, non-commercial purposes in accordance with these Terms and, where you obtained the app from the Apple App Store, the App Store Usage Rules.

You may not reproduce, distribute, publish, modify, sell, reverse engineer, or commercially exploit any part of the Service without our prior written consent.

8. AI-generated content

Stories are generated using artificial intelligence, and narration may be generated using artificial intelligence.

We run automated safety checks on generated story content before delivery. However:

• content is generated dynamically, so it may vary between requests;

• we do not guarantee that every story will match your personal preferences, expectations, or beliefs; and

• you remain responsible for supervising your child's use of the Service and for deciding whether a story is appropriate.

The Service provides storytelling and entertainment only. It is not medical, psychological, therapeutic, or educational advice, and it is not a substitute for care from a qualified professional.

9. Third-party AI services and your consent

Creating a story means sending the information you provide to specialised third-party AI providers. We use:

• Anthropic to generate story text. It may receive the child-profile information you choose to include in a story request.

• Hume to create narration from generated story text. It receives the story text needed to produce narration.

• OpenAI to safety-check generated story content. It may receive story text for that purpose.

Before the first time information is sent to these providers, the app displays a separate notice naming these providers, explaining what is sent and why, and asking for your explicit consent. You can withdraw that consent at any time in the app settings, which will stop story generation for your account.

We do not use, and do not permit these providers to use, child-profile information, stories, or narration to train general-purpose AI models.

10. Acceptable use

You agree not to:

• use the Service for any unlawful purpose;

• submit content that is unlawful, abusive, or infringing;

• interfere with, disrupt, overload, or attempt to gain unauthorised access to the Service or its systems;

• reverse engineer or attempt to extract the source code or models behind the Service;

• circumvent subscription, payment, or usage limits; or

• resell or commercially exploit the Service or its content.

We may suspend or terminate accounts that breach these Terms.

11. Privacy, cookies, and your choices

Our Privacy Policy explains how we collect, use, store, and share personal information, including the information you provide about your child and the AI providers we use. Our Cookie Policy explains cookies and similar technologies on our website.

12. Availability, changes to the Service, and termination

We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. The Service may be unavailable during maintenance, updates, or circumstances outside our control.

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if we are required to do so by law, or if we discontinue the Service. Where we discontinue the Service, we will provide reasonable notice where practical.

13. Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or free of errors, or that generated content will meet your requirements.

14. Limitation of liability

To the maximum extent permitted by law, Autism Central LLC will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of data, profits, or goodwill arising from your use of the Service.

Our total aggregate liability arising out of or relating to the Service will not exceed the greater of the amount you paid us for the Service in the 12 months before the claim, or USD 50.

Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.

15. Indemnity

You agree to indemnify and hold harmless Autism Central LLC from third-party claims, losses, and reasonable costs arising from your breach of these Terms or your misuse of the Service, except to the extent caused by our own negligence or wilful misconduct.

16. Governing law and dispute resolution

These Terms are governed by the laws of the State of Wyoming, United States, without regard to its conflict-of-law rules. Subject to the arbitration provision below, you and we agree to the exclusive jurisdiction of the state and federal courts located in Wyoming.

Arbitration and class-action waiver. Please read this paragraph carefully; it affects your legal rights. Any dispute arising out of or relating to these Terms or the Service will be resolved by binding individual arbitration rather than in court, except that either party may bring an individual claim in small-claims court. You and we each waive the right to a trial by jury and the right to participate in a class action, class arbitration, or representative proceeding. You may opt out of this paragraph by emailing support@countingsheep.club within 30 days of first accepting these Terms.

17. Apple App Store and Google Play

If you obtained the Service from the Apple App Store:

• These Terms are between you and Autism Central LLC only, not Apple. Apple is not responsible for the Service or its content.

• Your licence to use the app is limited to use on Apple-branded devices in accordance with the App Store Usage Rules.

• Apple has no obligation to provide maintenance or support for the Service.

• Autism Central LLC, not Apple, is solely responsible for the Service, any product claims, and any claim that the Service infringes third-party intellectual property rights.

• If the Service fails to conform to any applicable warranty, you may notify Apple, and Apple may refund the purchase price, if any. To the maximum extent permitted by law, Apple has no other warranty obligation.

• Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.

• You confirm you are not located in a country subject to a US Government embargo or designated as a "terrorist supporting" country, and that you are not on any US Government list of prohibited or restricted parties.

If you obtained the Service from Google Play, your purchase and use of the app are also subject to Google Play's terms and policies.

18. Changes to these Terms

We may update these Terms from time to time. When we do, we will post the revised Terms with a new effective date. If changes are material, we will notify you within the app or by other reasonable means. Continued use of the Service after the changes take effect means you accept the revised Terms.

19. General

If any provision of these Terms is found unenforceable, the remaining provisions stay in effect. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service. We may assign these Terms in connection with a merger, acquisition, or sale of assets. Our failure to enforce a provision is not a waiver of it. Notices to you may be given in the app or to the email address associated with your account.
